• The recently completed acquisition of forty percent (40%) of all the issued and outstanding equity interests of Laboratory Services MSO, LLC required additional time to assess the accounting and review for purposes of inclusion in the Form 10-Q. This assessment is expected to report material weaknesses in internal controls over financial reporting and disclosure controls and procedures.

Mitigation Strategies

• The Company intends to file the Form 10-Q within the five-day grace period provided by Rule 12b-25 of the Securities Exchange Act of 1934, as amended.

• The Company had a working capital deficit of approximately $7,026,000 at March 31, 2024 and had incurred recurring net losses and generated negative cash flow from operating activities of approximately $1,368,000 and $916,000 for the three months ended March 31, 2024, respectively.
• The current cash balance cannot be projected to cover the operating expenses for the next twelve months from the release date of this report.
