Environmental Challenges
- Limited History: The Company was only recently incorporated on 8 March 2019 and has no operating history and limited historical financial performance.
- Patent Rights: The Intellectual Property that will be assigned to the Company by The University of Birmingham, UK, comprises certain patent applications. There can be no guarantee that the Company’s patent applications will be successful and lead to granted patents.
- Litigation: As part of regular business activities, the Company is exposed to possible litigation risks including contractual disputes, occupational health and safety claims and employee claims.
- Technology Development & Commercialisation: Although Exenatide has already been approved for therapeutic use in humans, there is no guarantee that a reformulated Exenatide will receive regulatory approval.
- Intellectual Property: There is a risk that parties might knowingly or unknowingly infringe the Company’s intellectual property rights or that the Company may infringe the intellectual property rights of third parties.
- Reliance on Key Personnel: The Company is dependent on the principal members of its scientific and development team, the loss of whose services could materially adversely affect the Company.
- Clinical Validation: A core component of the Company’s strategy is the commercialisation and registration of its products. Such trials can be expensive, time consuming, may be delayed or may fail.
- Manufacturing: Whereas Exenatide has been produced on a commercial scale, the Company’s potential reformulated product(s) have not yet been produced on a large scale.
- Dependencies on Service Providers: The Company is dependent on contract service providers to perform many activities.
- Risk of Delay: The Company may experience delays in achieving a number of critical milestones.
- Sufficiency of Funding: Failure to obtain sufficient financing may result in delay or indefinite postponement of the Company’s activities.
- Competition: There is no assurance that competitors will not succeed in developing products that are more effective or economically viable.
- Research and development: There are many risks inherent in the development of biopharmaceutical products.

- Liquidity Risk: If restriction obligations (escrow) are applied to Shares held by the existing shareholders, the remaining “free float” may be limited.
