- COVID-19 pandemic resulted in significant economic downturn globally and led to disruptions and volatility in capital markets. The pandemic had a material adverse effect on its results of operations, financial position, and cash flows.
- Competition for residents and patients to continue and potentially increase further in 2023 and beyond as operators attempt to fill unoccupied units.
- Competition for experienced labor and increasing labor costs.
- Inability of seniors to afford resident fees due to various factors (economic downturns, housing market softness, unemployment, etc.).
- Potential negative impacts from changes to governmental reimbursement programs such as Medicare or Medicaid.

Mitigation Strategies
- The Company plans to reduce the corporate credit facility by refinancing qualified assets with various lenders and platforms over the upcoming 18 months.
- The Company may enter into derivative instruments to manage interest rate risk.
- The Company may implement hedging programs to offset the risk of revenue losses and provide more certainty regarding the payment of dividends to Shareholders.
