• The Company has incurred losses from inception and has a working capital deficiency.
• The Company continues to be dependent upon its ability to finance its operations through financing activities that may include issuance of additional debt or equity securities.
• The Company’s continuing operations and ultimately, the Company’s ability to continue as a going concern, is dependent upon its ability to either secure additional debt or equity capital and/or generate consistent cash flow from operations in the future.
• The Company has and may continue to have capital requirements in excess of its currently available resources.

Mitigation Strategies

• The Company has been successful in obtaining its required financing in the past, mainly through the issuance of equity capital and debt financing from both arms length and non-arms length parties.
