• The Company does not have Independent Director (from 08.07.2021 till date of this report).
• The Company does not have optimum combination of Board of Directors- Rotational & Non-Rotational Directors.
• The composition of the Board, Audit Committee, Nomination and Remuneration committee and stakeholder relationship committee is not in accordance with SEBI (LODR) Regulations, 2015.
• Requisites policies, Financial Disclosures as per applicable provisions of the SEBI (LODR) Regulations, 2015 and SEBI (PIT) Regulations, 2015 are not updated and available at the website of the Company.

Mitigation Strategies

• The Board of Directors were in constant search for a suitable Internal Auditor.
• The Board had searched and appointed a suitable Company Secretary.
• The Board is in continuously searching for at least 1 rotational Director.
• The Board is in continuously searching for Independent Director.
• The company is in process of updating its website.
